Committee Member information

This document acts as an agreement between the individual completing this form  and the not-for-profit association, Brisbane Basketball Inc as a provider of basketball services within the State of Queensland. PARTIES 1.  Brisbane Basketball Inc. is an Incorporated  Association  within  the  State  of  Queensland  with the Incorporation  Number   IA01131,  having  its  registered  office  at  16  Dixon  St  Auchenflower  4066. and You, "The Management Committee Member", as  a   Brisbane  Basketball Inc's  Management  Committee member. AGREEMENT 1)  Definitions a)  In this Agreement: (a) Agreement means this Agreement and any amendments to this Agreement from time to time; (b) Confidential  Information means any information that the Management Committee obtains. including but not limited to: a. Information contained  within  Committee  Meetings and their minutes. b.  Information learned due to the position as a Committee Member of Brisbane Basketball Inc. 2)  Consideration a)  The  Management  Committee  Member  enters  into  this  Agreement  and  agrees  to  the  provisions  of  this agreement  in  consideration  for  a  position  on  the  Management  Committee  of  Brisbane  Basketball  Inc. 3)  Term a)  This Agreement shall come into force upon the date of its execution. b)  The Agreement shall continue in force indefinitely. c)  This Agreement continues to bind the Management Committee Member to non-disclosure of confidential information even if the party ceases to remain a Management Committee Member of the Association 4)  Management Committee Member's Confidentiality Obligations 4.1 The Management Committee Member must: a)  Keep all confidential information with the strictest confidence. b)  Not disclose the Confidential Information to any person without the written consent of the Management Committee of Brisbane Basketball, and then only under confidentiality. c) Use  the  same  degree  of  care  to  protect the confidentiality of the confidential  information  that  a reasonable  person in the  same  situation  would  use. d)  Act in good faith at all times about the confidential information of Brisbane Basketball Inc. e)  Do not use confidential information for any purpose other than  permitted . 5)  General a) No breach of any provision of this agreement shall be waived except with the express written consent of the party not in breach. b) If any provision of this Agreement is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions of this Agreement will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect (unless that would contradict the clear intention of the parties, in which case the entirety of the relevant provision will be deemed to be deleted). c) This Agreement may not be varied except by a written document signed by or on behalf of each of the parties. d) Neither party may without the prior written consent of the other party assign, transfer, charge, license or otherwise dispose of or deal in this Agreement or any contractual rights or obligations under this Agreement. e) This Agreement is made for the benefit of the parties, and is not intended to benefit any third party or be enforceable by any third party. The rights of the parties to terminate, rescind, or agree any amendment, waiver, variation or settlement under or relating to this Agreement are not subject to the consent of any third party. f) This Agreement shall be governed by and construed in accordance with Australian Law.
